1. Acceptance of Terms

By accessing or using Agenvik, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using Agenvik on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use Agenvik, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Take responsibility for all activity under your account

3. Permitted Use

You may use Agenvik to build, train, and deploy AI agents for lawful purposes. You agree not to:

• Use the platform to generate illegal, harmful, or deceptive content
• Attempt to reverse engineer, copy, or replicate the platform
• Use the platform to infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful data
• Resell, sublicense, or commercially exploit the platform without written consent
• Circumvent usage limits, rate limits, or access controls

4. Your Content

You retain ownership of any content you upload to Agenvik (knowledge sources, documents, FAQs, etc.). By uploading content, you grant us a limited, non-exclusive license to process and use that content solely to provide the platform's services to you. You are solely responsible for ensuring your content does not violate any third-party rights or applicable laws.

5. Subscriptions & Billing

Paid plans are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis. The following applies:

• Prices are listed in INR and may be subject to applicable taxes
• Downgrades or cancellations take effect at the end of the current billing period
• We do not offer refunds for partial months or unused capacity
• We reserve the right to change pricing with 30 days' notice

6. Usage Limits

Each plan includes defined limits on AI agents, knowledge sources, messages, and training runs. Exceeding these limits may result in throttling or temporary suspension of certain features until your next billing cycle. We reserve the right to enforce these limits to ensure fair use across all customers.

7. AI Output Disclaimer

Agenvik's AI agents generate responses based on the knowledge you provide. We do not guarantee the accuracy, completeness, or reliability of any AI-generated output. You are responsible for reviewing and validating responses before using them in any business-critical, legal, medical, or financial context.

8. Intellectual Property

All rights, title, and interest in the Agenvik platform — including its design, software, trademarks, and technology — are owned by Agenvik. Nothing in these Terms grants you any ownership rights in the platform. Feedback or suggestions you provide may be used by us without any obligation to you.

9. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the platform ceases immediately. Sections on intellectual property, disclaimers, and liability will survive termination.

10. Limitation of Liability

To the maximum extent permitted by law, Agenvik shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform — including loss of data, revenue, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

Agenvik is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or an in-app notice. Continued use of Agenvik after the effective date of changes constitutes your acceptance of the updated Terms.
